THE PINAX GROUP ACQUIRES CLIO ® DIVISION OF MAINSTREET NETWORKS:
CLIO
® Handheld Device Back on the Market

McLEAN, VA. – December 11, 2001 -- The Pinax Group Inc. today announced its acquisition of the assets of the Clio ® division of Mainstreet Networks, Inc. and its immediate intention to commence manufacturing and selling the handheld PC companion. Financial terms of the deal were not disclosed.

The Clio ®, designed by The Pinax Group, is a three pound, 9" x 11", dual configuration handheld PC-like device that is known for its versatility and its portability. Its unique SwingTop ® design enables it to function either as a touch-screen tablet with handwriting recognition or as a more traditional notebook with a nearly full-sized keyboard.

The adaptable design is well suited for quick and efficient data capture or for any application that requires a larger screen size than those offered by palm-sized PC’s. The Pinax Group is confident that the "point of " data collection capabilities of the Clio ® will transform the way information is compiled in many sectors, including healthcare, research data surveys, and sales automation.

"We are committed to this incredible technology," said Robert Sowah, The Pinax Group Inc.’s, Chief Executive Officer. "Clio ® is simply the most flexible mobile device of its kind available today. Its unique ability to change from a notebook-like format to a tablet system makes it a very adaptable tool in many situations.

"Our plan is to re-establish Clio ® on the market after its brief absence and then further augment the capabilities of this great system," stated Sowah.
